Terms of Service

Last updated September 1, 2026

These terms set out the conditions for using the service we provide. By using the service, you agree to them.

1. Scope

These terms govern the rights and obligations between us and you in connection with the service, and apply to every aspect of your use of it.

Any separate rules we publish within the service form part of these terms. Where the two differ, the separate rules prevail.

These terms are written in Japanese. If the English version differs from the Japanese version, the Japanese version prevails.

2. Definitions

The terms used here have the following meanings.

  1. “Service” means the service we provide under the name “nagaler”, including the service as renamed or changed.
  2. “User” means an individual or company that agrees to these terms and uses the service.
  3. “Registration information” means the information you give us in order to use the service.
  4. “Paid plan” means a set of features available in exchange for the stated monthly fee.

3. Registration

Anyone who wishes to use the service registers in the manner we specify, having agreed to these terms. Registration completes when the procedure we specify is finished, and a contract under these terms is then formed between you and us.

The service is not intended for people who live in the European Economic Area, mainland China, Russia, or Belarus. People who live in those regions may not register.

People under 13 may not use the service. If you are a minor, you use the service with the consent of your parent or other legal guardian.

4. Prohibited conduct

You must not do any of the following when using the service.

  • Anything that breaks the law or offends public order.
  • Anything connected with criminal activity.
  • Anything likely to interfere with the running of the service.
  • Collecting or storing other users’ personal information improperly.
  • Giving summaries or audio the service produced to third parties, or making them public, without the rights holder’s permission.
  • Anything else we judge to be inappropriate.

5. Your responsibilities

You warrant that you hold the rights needed for the service to handle the information you bring into it, or have the rights holder’s permission.

If a dispute arises between you and another user or a third party in connection with your use of the service, you resolve it at your own responsibility and cost, except where we are at fault.

If you cause us loss by breaching these terms, you compensate us for it.

6. Intellectual property

The intellectual property rights in the service belong to us or to the third parties that rightfully hold them.

You may use the summaries and audio the service produces only for your own private use.

7. Suspension

We may suspend all or part of your use of the service, or cancel your registration, if we judge that any of the following applies.

  • You have breached any provision of these terms.
  • We have previously suspended your use of the service or cancelled your registration.
  • Your registration information is found to contain false statements.
  • You are found not to meet the conditions for use in section 3.
  • We otherwise judge your use of the service to be inappropriate.

8. Exclusion of antisocial forces

You represent that neither you nor anyone connected with you is a member of an organised crime group, a person who left one less than five years ago, an associate member, a company related to one, a corporate racketeer, a group that uses social campaigns as a front, a specialised intelligence crime group, or anyone equivalent to these (“antisocial forces”), and you warrant that this will remain true.

If we judge that you have breached the paragraph above, we may cancel your registration and terminate the contract under these terms without prior notice.

9. Fees and payment

The fees for paid plans, and what each plan includes, are as shown in the service and on our website. Prices are set in Japanese yen and include Japanese consumption tax where it applies. When you pay from outside Japan, your payment provider converts the amount into your local currency at the time of payment.

You pay the fee for a paid plan by the method we or the app store specify.

We may change the fees, and what each plan includes, after giving notice in advance. The changes apply from the date the notice states.

When a plan change or a cancellation takes effect is as shown in the service.

We do not refund fees on a plan change, a cancellation, or the deletion of an account.

Requests to refund fees paid through an app store follow that store’s own rules.

10. Changes to, interruption of, and end of the service

We may interrupt all or part of the service without notifying you in advance in any of the following cases.

  • We are maintaining or inspecting the systems behind the service.
  • A fault, a power cut, a natural disaster, or another event beyond our control makes the service difficult to provide.
  • An outside service the service relies on stops or changes.
  • We otherwise judge an interruption to be necessary.

We may change what the service offers, or stop providing it. Before we stop providing the service, we will notify you.

11. Disclaimer

We give no warranty as to the accuracy, completeness, or usefulness of the summaries and audio the service produces. Check the original, and use them at your own risk.

A summary leaves parts of the original out. Do not rely on it for decisions that demand accuracy, such as contracts or medical matters.

12. Limitation of liability

Where we are liable for loss you suffer in connection with the service, except where the loss results from our wilful misconduct or gross negligence, we compensate only ordinary loss that you directly and actually suffer, up to the fees you paid us for the month in which the loss arose.

13. Assignment

You may not transfer your position or your rights and obligations under these terms to a third party, or offer them as security, without our prior consent.

If we transfer the business of the service to a third party, we may transfer our position and our rights and obligations under these terms, together with your registration information and other information, to the transferee, and you consent to this in advance.

14. Changes to these terms

We may change these terms without your individual consent where either of the following applies.

  • The change is in the general interest of users.
  • The change does not conflict with the purpose of these terms, and is reasonable in light of the need for it, the appropriateness of the new content, and the other circumstances of the change.

Before a change takes effect, we will announce that these terms are changing, the new content, and the date the change takes effect, within the service, on our website, by email, or by other appropriate means.

15. Severability

If any provision of these terms, or any part of one, is held invalid or unenforceable under Japan’s Consumer Contract Act or any other law, the rest of these terms, and the rest of that provision, remain in effect.

16. Governing law and jurisdiction

These terms are governed by and construed in accordance with the laws of Japan.

The district court with jurisdiction over the location of our head office has exclusive jurisdiction in the first instance over any dispute between you and us in connection with the service.

If you are a consumer, nothing in these terms limits any right that the law of the country where you live gives consumers and that cannot be limited by contract.
